Toshiba hasn't been doing so well as of late and they have been trying to figure out how to unload their memory business for around a trillion yen (yeah, that's a big number, even in Yen.) But because so much of that business is a joint venture with their US partner Western Digital, they have been unable to take advantage of any potential buyers, even though many businesses, like Foxconn, are very interested in it. Western Digital has, however, made overtures to possibly bail Toshiba out to keep it afloat while it figures things out as WD has a lot to lose if the joint venture collapses.

Seems like WD has to do this due to the legal entanglements that Toshiba otherwise would have to unwind.
